BAR sells 40% to Honda

Honda has bought a 40 per cent chunk of Formula One team BAR, numerous media outlets claimed on Wednesday. Brackley-based BAR, presently owned by British American Tobacco, agreed a deal - said to involve the handover of a non-controlling stake of the shareholding - to the Japanese carmaker.

It is also reported that David Richards will make way for a new Honda-appointed team principal -- Nick Fry. "There is nothing we can say at this stage," Fry was quoted as saying in a BBC article.

BAR shareholder and co-founder Adrian Reynard, though, denied that the subject of a sale to Honda was brought up at the last board meeting.

But he said he would be 'totally supportive' of the reported buy-out.
 
It is also reported that David Richards will make way for a new Honda-appointed team principal -- Nick Fry.

I never liked David Richards for Bar-Honda anyways. He has other loyalties, ie the Wrc championships. I'd rather have a full-time head man.

BAR will enter an exciting new phase of its development with the announcement today that Honda will further increase its commitment to the team by becoming an equity partner for the first time. Honda is already the team's engine supplier under a new three year contract, chassis development partner and a sponsor.

The announcement follows the Lucky Strike BAR Honda team's most successful season to date, in which the team achieved second place in the FIA Formula One Constructors' World Championship, and underlines its determination to win the World Championship.

Antonio Monteiro de Castro, Chief Operating Officer of British American Tobacco and a director of B·A·R, said: "We're delighted Honda wants to increase its involvement in BAR which has gone from strength to strength this season. We are particularly grateful to David Richards and Prodrive for helping to achieve this improvement and providing a springboard for the next phase of the team's development."

Under the new agreement, British American Tobacco will own 55 per cent and Honda Motor Co., Ltd., 45 per cent of a new joint venture company which is planned to replace the existing BAR ownership structure.

Takanobu Ito, Managing Director of Honda Motor Co., Ltd., commented: "This is a natural extension of our relationship with BAR and is an important step for both partners. The new commitment will further strengthen the structure for cooperation with BAR as we push forward with our Formula One challenge."

Parallel with this announcement is agreement between British American Tobacco and Prodrive to conclude the consultancy contract that has paved the way for this new chapter in BAR Honda's future. Prodrive, the company led by David Richards, was contracted under a consultancy agreement by British American Tobacco in 2001 to restructure the management of the team and put BAR Honda into a position to challenge for the World Championship.

The team scored 11 podium finishes in the 2004 FIA Formula One World Championship and established itself as a leading championship contender. Honda's decision to strengthen its commitment through equity is evidence of the significant progress that has been made under the leadership of Prodrive's management.

David Richards commented: "We were brought in by British American Tobacco to turn the team around and secure its long-term future and that is what we have done. I am immensely proud of what Prodrive has achieved in a shorter time than anticipated. I believe that BAR Honda is now in a very healthy position to continue its pursuit of the World Championship. Obviously I and all at Prodrive will take a strong interest in the fortunes of the team in the future."

Jimmi Rembiszewski, British American Tobacco Director, Marketing, who has worked closely with David Richards and Prodrive, reiterated the company's gratitude: "Our two companies have worked together for many years in World Rally and F1 with outstanding results. We are truly proud of the achievements of David and his team in such a short space of time. Through their efforts they have helped to make our Formula One programme a real success. It continues to make a huge contribution to our international marketing and brand building, motivates our company and makes the BAR team a source of great pride for us. This is the end of one great chapter and another is about to begin."

The succession planning put in place by Prodrive will see Nick Fry appointed as Chief Executive of BAR, while Geoffrey Willis continues as the team's Technical Director. A phased management transition is underway and should be completed by the end of the year. David will be providing support on various transitional issues at BAR until the end of February. Honda and Prodrive are also exploring opportunities for working together in the future.

As part of its involvement in the team, Honda will appoint directors to the board of B·A·R, and will add a number of key personnel to the 30 engineers who have been located at the team's Brackley headquarters for some time, under the joint chassis development programme. The day-to-day management and operation of the team are unaffected by the ownership restructure and will continue to function as before.

Richards out as Honda becomes equity partner
BAR engine suppliers Honda has announced that it has bought a 45 per cent stake in the Brackley-based team. In a new joint venture company with majority shareholders British American Tobacco (BAT), Honda will provide a new management structure bringing an end to David Richard's role as team boss.

Under the new agreement, BAT will own 55 per cent of the team and Honda the remaining 45 per cent. BAT currently owns 90 per cent of BAR (Holdings) Limited, the current owners of the team, and hopes to purchase the final 10 per cent of the company from its three minority shareholders in order to form its own joint venture with Honda to replace the existing BAR ownership structure. The offer was made to those shareholders this morning and BAT are waiting for their response.

If the shareholders are unwilling to sell their 10 per cent, BAT will put BAR (Holdings) Ltd into administration in order for the new company to acquire the shares from the administrator. This will have no effect on the BAR team, it will simply be a way for BAT and Honda to have full control of the outfit.

Alongside the announcement the team has confirmed that BAT will conclude its contract with Prodrive, the company led by Richards, which has held a consultancy agreement with BAT since 2001. Prodrive was brought in to restructure the management of the team and put BAR Honda into a position to challenge for the World Championship.

BAT is keen to stress that Richards has not been replaced, his role has simply been removed as the squad moves away from holding such a position within the team. Fry, as the chief exectuive of the new joint venture, though, would assume the role of team principal in everything but name.

None...yet! B.A.R was started in 1999 and Honda entered it's third era of F1 participation in 2000 by supplying Honda engines to B.A.R along with Jordan. Honda eventually phased out Jordan in 2003 and concentrated on B.A.R because they allowed the Honda engineers to have greater input on the suspension/chassis/transmission setups.

Honda's 1st F1 win came after only 11 starts in its first era of F1 participation. It happened in 1965 at the Mexican GP with Ritchie Ginther driving the 1.5L V12 powered championship white Honda. John Surtees won Honda's 2nd GP in 1967 at Monza. Honda took a 15-year break and came back to F1 in 1983 and pretty much dominated from 1986 until 1991 when they won the F1 Constructor's championship 6 consecutive times with Williams and McLaren. 1988 was arguably the most dominant season ever in F1, with the McLaren-Honda MP4/4 securing 10 1-2 finishes and 15 wins out of 16 races from Ayrton Senna and Alain Prost, a still unbroken record win percentage. They finally lost the championship in 1992, the same year they decided to take another break from F1 to concentrate on racing in North America, where they proceeded to dominate the CART series. However, before the end of their second era in F1, Honda power won 71 races, 6 Constructor's titles and 5 Driver's championships. You really can't get any more dominant than that.

All of the above doesn't have much to do with your B.A.R question, which is easily answered, but I think it's important to know Honda's F1 racing heritage in order to appreciate how formidable a force they are in motorsports and the likelihood for them to return to their F1 championship form in due time. After this year's awesome turnaround for B.A.R-Honda, I really can't wait to see how they do next season.
